Approachable and diligent, Justin Futch is a corporate attorney who handles complex transactions and advises clients on a variety of corporate governance issues. Practicing since 2022, Justin has amassed considerable M&A experience – preparing and negotiating purchase agreements, letters of intent, shareholder agreements, and more, as well as performing due diligence reviews.
As outside general counsel to small and mid-size businesses, Justin routinely counsels clients regarding corporate governance, including entity selection, structure issues, and risk mitigation. He also prepares, reviews, and negotiates contracts and agreements, serving a broad array of industries, particularly energy, construction, oil and gas, and financial services.

His transactional experience includes guiding clients through multi-million-dollar mergers and acquisitions, preparing and negotiating asset purchase agreements, indemnity agreements, confidentiality/non-disclosure agreements, deal points and term sheets, and performing due diligence reviews.

Justin joined Hendershot Cowart P.C. in 2024, attracted by the opportunity to work with a well-established firm and to broaden the scope of his transactional practice. He earned a bachelor’s degree from Texas A&M University, and his law degree from South Texas College of Law Houston in Houston, Texas.
Outside of work, Justin stays busy as a husband and the father of two children. An avid outdoorsman, he enjoys hunting, golfing, and hiking. He has made it his mission to visit each of the United States national parks, and visits one every year with his closest friends.
